Aurum Learn Delivery Licence
Version 2026-10-31. These terms apply to every licence Aurum Learn sells to an organisation, together with the written quote the organisation accepts.
1. The parties and the quote
This licence is between Aurum Foundation Limited (ABN 39 680 160 570), a registered charity ("Aurum"), and the organisation named in the written quote ("you"). The quote sets out the product, how it is delivered, the number of learners or seats, the term and the fees. If the quote and these terms differ on any of those points, the quote applies.
2. What you may do
- Use inside Aurum Learn. Your assigned learners may use the licensed courses on Aurum Learn for the term.
- Facilitated delivery. Facilitators authorised in the quote may deliver the licensed materials to your people. A Learn subscription does not include facilitation rights unless the quote says so.
- Hosting in your own learning system. Only where the quote names a package and the format. Export to your system and import into Learn are separate products.
The licence is non exclusive and cannot be transferred or sublicensed without Aurum's written agreement.
3. Ownership
Aurum, or the people it licenses material from, owns the courses, the materials, The Autistic Standard, Aurum AQ and the Aurum and Aurum Learn names and marks. Nothing in this licence transfers that ownership. You keep ownership of your own logos, names and data.
4. What you may not do
- Resell or share the licensed materials, seats or logins.
- Repackage the materials into another product or course without a written agreement with Aurum.
- Build training products from the content outside this licence.
- Use the materials in paid consulting unless the quote expressly allows it.
- Use the materials to train or fine tune an artificial intelligence system.
- Remove or obscure Aurum's credit, copyright or version notices.
5. Branding
A co branded workspace is available on the standard rate plan only. It shows your organisation's logo and name, a dividing rule, the word Learn in your colour, and the credit "Runs on Aurum Learn". You confirm you have the right to use the logo you supply. Course names, The Autistic Standard and Aurum AQ keep their own names and are not rebranded.
6. Changes to the materials
Changes that alter a course's rules, figures, audience or safety information need Aurum's written approval before use. Aurum may correct or update materials during the term and will tell you when a correction affects safety or legal information. Adapted material must not be presented as Aurum's current approved version unless Aurum has approved it. The Autistic Standard is delivered as one programme, with its Charter at every tier.
7. Facilitated programmes and records
For facilitated programmes, all essential content must be delivered. A learner who misses a session can complete make up learning set by the facilitator. Attendance or make up is confirmed in Aurum Learn before a programme record is issued. A record of completion confirms that the defined learning was completed for the recorded version. It is not a certificate, an accredited qualification or a statement of professional competence.
8. Learner information and privacy
Each party must comply with the Privacy Act 1988 (Cth) to the extent it applies to it. Aurum handles learner information under its privacy policy. Reports to you show enrolment, progress and completion. They never include a learner's private reflections, individual answers to learning checks, or optional profile answers. Records of completion stay available to the learner under Aurum's retention policy after the licence ends.
9. Fees, GST and invoices
Fees are in Australian dollars and include GST. Aurum is registered for GST and issues a tax invoice for every payment. Payment terms are in the quote. Licence fees are payments for a service. They are not donations and are not tax deductible as gifts, even though Aurum is a deductible gift recipient. Funded or subsidised places are available only where an approved funding pool and eligibility rule are recorded in the quote.
10. Term and ending the licence
The licence runs for the term in the quote. Either party may end it by written notice if the other party breaches these terms in a material way and does not fix the breach within 30 days of being asked to. When the licence ends, you must stop using and distributing the licensed materials, except copies the quote allows learners to keep. Records of completion are not affected.
11. Australian Consumer Law and liability
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot be excluded. Where the law allows Aurum to limit its liability for a failure to comply with a consumer guarantee for services not of a kind ordinarily acquired for personal, domestic or household use, Aurum's liability is limited to supplying the services again or paying the cost of having them supplied again. To the extent the law allows, Aurum is not liable for indirect or consequential loss, and its total liability under this licence is limited to the fees you paid in the 12 months before the claim.
12. Education, not advice
The courses give general education and information. They are not legal, clinical or professional advice. You remain responsible for your own legal duties, including workplace health and safety, reporting and child safety obligations, and for following the law where you operate.
13. Questions, complaints and disputes
Questions and complaints go to hello@aurum.org.au. If a dispute arises, both parties will first try to resolve it by discussion in good faith, then by mediation, before starting court proceedings, except where urgent relief is needed. These terms are governed by the law of New South Wales.
14. Changes to these terms
Aurum may publish a new version of these terms. A new version applies to new quotes and renewals. A licence already running stays on the version accepted for it.
